Carolina Villar Freuler is a partner in the Corporate and Mergers & Acquisitions practices at Mitrani Caballero. Her practice focuses on corporate and financial matters, advising domestic and international clients across multiple industries and jurisdictions. She has extensive experience structuring and implementing corporate reorganizations, including mergers and acquisitions, asset transfers, shareholders’ agreements, joint ventures, and trust structures, with a consistent emphasis on risk identification and mitigation through due diligence and tailored governance documentation.

Carolina graduated from Universidad Austral (2008) and holds an LL.M. from the University of Chicago (2011), where she was a Fulbright fellow and received the Ann Watson Barber Outstanding Service Award.

She began her career at Rosso Alba, Francia & Ruiz Moreno, focusing on corporate and regulatory law and assisting clients in infrastructure, energy, telecommunications, media, real estate, and life sciences, including public tenders and concessions. After moving to the United States to pursue her LL.M., she joined Cleary Gottlieb Steen & Hamilton LLP in New York as an international associate in the firm’s Latin America practice. She then returned to Argentina to join the banking practice of Marval, O’Farrell & Mairal, where she worked on bond offerings before the CNV, foreign exchange and tax developments, and loan documentation. In 2013, Carolina joined Mitrani Caballero’s corporate, M&A, and finance practice, where she worked for more than three years. She subsequently became a partner and associate at Ortiz & Asociados, advising on corporate restructurings, financing alternatives, and projects in the real estate and credit card sectors, including supplier negotiations, conflict mediation, and regulatory analyses for new business initiatives. Before rejoining Mitrani Caballero, Carolina served as Commercial Senior Legal Counsel and Head of Legal (LATAM) at SWVL (Viapool), providing strategic commercial and regulatory advice and coordinating multi-jurisdictional contract work across Brazil, Mexico, Chile, and Argentina.

In 2023 she re-joined Mitrani Caballero in the Corporate and Mergers & Acquisitions practices. In addition to her client work, Carolina coordinates the Women at Mitrani Caballero program, launched in 2024, a series of meetings and workshops aimed at promoting diversity, equity, and inclusion, inspiring and supporting women, encouraging their active participation, and enhancing their professional development. She is also a member of the firm’s AI Committee, which promotes the assessment, testing, and responsible adoption of new tools.
