Molinos Río de la Plata Acquires Bodegas Etchart

Our team advised Molinos Río de la Plata S.A., one of Argentina’s leading consumer goods companies, on its acquisition of Bodegas Etchart from Pernod Ricard Argentina. The transaction also includes certain related assets, brands, and employees.

Founded in 1850 and located in Cafayate, Salta, Bodegas Etchart is one of Argentina’s most traditional wineries. It is renowned for producing and marketing premium wines under the Etchart and Cafayate brands, both recognized for reflecting the unique identity and character of Salta’s terroir.

The acquisition aligns with Molinos’ growth strategy and further expands its winery and vineyard platform, which the company has developed over the years through Nieto Senetiner, Cadus, and Ruca Malen, as well as its partnership in Viña Cobos.

Mitrani Caballero advised Molinos on the various legal aspects of the transaction. Lawyers from multiple practice areas provided counsel throughout the process, from due diligence and transaction structuring to the negotiation of the definitive agreements.

The deal team was led by Siro Astolfi and Aixa Sureda, partners in the Corporate Law practice, and included senior counsel Manuel Alonso, Evangelina González Soldo, and Alejandra González; senior associates Silvina Cassano, Gonzalo Castagnini, María José Fernández Ruiz, and Leonel Palomares; and associates Marina Alvarado and Ignacio Mateo.

The acquisition was disclosed through a material event filing with Argentina’s National Securities Commission (CNV), Bolsas y Mercados Argentinos (BYMA), and A3 Mercados. Completion of the transaction remains subject to the customary regulatory approvals required for transactions of this nature.
