We advised international investors on a strategic alliance for the acquisition of hydrocarbon concessions
An international consortium of investors composed, among others, of Explorador Capital, Terra Oil Investments, and Amos Global Energy, relied on Mitrani Caballero’s counsel to structure a strategic alliance with Roch S.A. aimed at acquiring hydrocarbon concessions in Argentina.
An innovative partnership model was adopted for this transaction. The structure drew on best practices from partnership agreements used by institutional investors in private equity transactions, combined with those commonly employed by strategic investors in the energy sector when they do not hold operatorship.
The first transaction completed under this alliance comprised the acquisition of exploration concessions in the Cañadón Yatel, Cerro Piedra/Cerro Guadal Norte, and El Guadal-Lomas del Cuy areas. Located in the province of Santa Cruz, these concessions had been operated by YPF S.A. until their reversion to the province.
The structuring and execution of the transaction was led by Javier Errecondo, head of the Banking, Finance, and Capital Markets practice. He was supported by Siro Astolfi on transactional matters, Mariana Ardizzone on regulatory aspects and the negotiation of the operating agreement, and Jimena Martínez Costa on corporate matters.
