We advised Talanx Group on a landmark insurance-sector transaction
Mitrani Caballero acted as legal advisor to Talanx Group in the sale of its insurance operations in Argentina and Uruguay to Barbuss. The cross-border deal required the seamless coordination of legal teams in both jurisdictions to address the regulatory complexities inherent in a highly supervised industry.
Talanx, one of Europe’s leading insurers, operates in more than 150 countries. The Group had taken control of HDI Seguros Argentina and Uruguay in 2011; the companies are long-standing market players with over 125 years of history.
“This was a particularly compelling matter that involved reconciling the parties’ objectives with the regulatory frameworks in each country,” noted our partner Cristian Krüger, who headed the project.
For this complex transaction we assembled a multidisciplinary team. Senior associates Bruno Fiorino and Silvina Cassano led the mergers and acquisitions work. Partner Corina Laudato advised on tax matters, and senior counsel Manuel Alonso handled intellectual-property issues. Senior counsel Evangelina González Soldo and junior associate Josefina Re contributed their antitrust expertise.
The engagement once again underscores Mitrani Caballero’s capacity to steer sophisticated, multi-jurisdictional transactions requiring intricate regulatory coordination, while highlighting the trust that global groups such as Talanx place in our firm for their strategic operations across the region.
